Terms of Service

These Terms govern your use of the Planarise website and the Planarise project-management and collaboration platform (together, the “Services”), operated by AUGUS INT'L BUSINESS(HK)CO., LIMITED., registered at FLAT/RM 1911 LEE GARDEN ONE 33 HYSAN AVENUE CAUSEWAY BAY HK (“we”, “us”). By using the Services or buying a subscription you accept these Terms, our Privacy Policy and our Refund Policy.

1. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract. If you buy on behalf of a company, you confirm that you are authorised to bind it.

2. What we sell

Most of the Services are free. Paid plans are software subscriptions in USD; the price, the billing period and exactly what each plan includes are shown on the Pricing page and again at checkout before you pay. Professional implementation or consulting, if offered, is contracted separately and is not sold through our payment processor as a standalone human service.

3. Payments, invoices and taxes — Paddle is the Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

• Paddle calculates and collects applicable VAT, GST or sales tax and issues the invoice or receipt in its own name.
• We never receive or store your full card number or CVC. Payment details are entered on Paddle’s hosted checkout.
• Your bank or card issuer may add currency-conversion or cross-border fees; those are outside our control.

4. Subscriptions, renewal and cancellation

• Paid plans are subscriptions. The first charge is taken at checkout; the subscription then renews automatically at the end of each billing period until cancelled.
• You may cancel at any time before the renewal date using the management link in your Paddle receipt email, at paddle.net, or by contacting us. Cancellation stops future charges; you keep access until the end of the period already paid for.
• We do not refund unused time on a cancelled subscription pro rata, except where the Refund Policy or mandatory law provides otherwise.

5. Licence and permitted use

Where the Services include downloadable software, we grant you a non-exclusive, non-transferable, revocable licence to install and use it for your personal or internal business purposes, for the seats your plan allows. You may not resell, sublicense, rent, redistribute or publish it; reverse engineer it except where the law expressly permits; or circumvent licence checks or quotas.

6. Acceptable use

You agree not to use the Services to break the law, infringe the rights of others, distribute malware, harass anyone, or evade rate limits. You are responsible for content you process and for complying with applicable anti-spam and data-protection law.

7. Accounts

Keep your credentials secure and tell us promptly if you suspect unauthorised use. You are responsible for activity under your account. We may suspend or terminate accounts used for abuse, fraud or chargeback fraud.

8. Third-party services and AI output

Some features rely on third-party platforms or AI providers. AI-generated or automated output can be wrong or incomplete — review it before relying on it. Integrations listed on this site are first-party connections we provide; third parties do not sell their own products through our Merchant of Record account.

9. Changes and availability

We may add, change or retire features. We aim for high availability but do not guarantee uninterrupted or error-free operation. Beta features are provided as-is.

10. Intellectual property

The Services, including code, design, text and logos, are owned by us or our licensors. Third-party product names and logos are trademarks of their respective owners; we are not affiliated with, endorsed by or sponsored by them.

11. Disclaimers and liability

Except as expressly stated, the Services are provided “as is” and “as available”. To the extent permitted by law, our total aggregate liability arising out of or in connection with the Services is limited to the amount you paid for the Services in the 12 months before the event giving rise to the claim (or USD 50 if you paid nothing). Nothing here limits liability that cannot lawfully be limited.

12. Governing law

These Terms are governed by the laws of the Hong Kong SAR. Consumers keep mandatory rights in their country of residence where applicable.
